BINDING EFFECT: This is a legal agreement between You (“User”, “Users”, “You”, “Your”, “Visitor”, or “Visitors”), and grabthesuitcase.com, Our parent company Grumpy Monkey Pants Publishing, LLC, and any of Our subsidiaries, Affiliates, subcontractors, licensees, sub -licensees, directors, officers, employees, consultants, agents, representatives, assigns, successors, and content or service providers (“GTS”, “We”, “Us”, or “Our”) that states the material terms and conditions that govern Your use of the Sites and Services.  This is a binding Agreement. This Agreement, together with all policies, disclaimers, disclosures, updates, supplements, additional terms, amendments, and the entirety of published GTS rules and policies collectively constitute, and shall be referred to as, the (“Agreement”) between You and GTS

BY ACCESSING AND USING THE SITES, YOU AGREE TO BE LEGALLY BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF USE, AND THE ENTIRETY OF THIS AGREEMENT STATED HEREIN, PLEASE DO NOT ACCESS OR OTHERWISE USE THE SITES OR SERVICES.

TERMS OF USE: The Terms and Conditions contained in the entirety of this Agreement, along with any referenced rules, policies, disclaimers, disclosures, notices, updates, supplements, changes, amendments, resources, or other stated conditions comprise Our (“Terms of Use”) and apply to this or any other websites, applications, stores, systems, or other Services that We link to the Terms of Use as authorized solely by GTS (collectively referred to as the “Sites” herein) , however accessed and/or used that are owned or operated or otherwise made available by GTS. You warrant and affirm that You understand the entirety of the Agreement and the Terms of Use as these collectively compose, form, and are referred to as Our (“Services”) herein unless otherwise stated.

PRIVACY POLICY:  GTS respects Your privacy and permits You to control the treatment of Your personal or business information through Your User Account. Data collection and the use of personal or business information, is governed by Our Privacy Policy.  The GTS Privacy Policy is hereby incorporated into and is a part of this Agreement by reference. 

GOVERNING LAW:  This Agreement and the Terms of Use shall be construed in accordance with and governed by the laws of the State of Arizona, United States of American, without reference to their rules regarding conflicts of law.  By accessing, viewing, or using the Sites, You hereby irrevocably consent to the exclusive jurisdiction of the state and federal courts in Phoenix, Arizona, United States of America in all disputes arising out of or relating to Your access or use of the Sites or Services. 

AGREEMENT AND TERMS OF USE UPDATES:  GTS reserves the right, at Our sole discretion, to change, modify, add, remove, update or amend portions of this Agreement and the Terms of Use at any time.  Please review the Terms of Use periodically. Your continued access and use of the Sites or Services following any change, modification, addition, removal, update, or amendment of the Agreement or any of the Terms of Use will affirm Your understanding and acceptance of those changes. 

BLOG WEBSITE: This GTS Blog website is a Travel Related Blog Website. In addition to curating Affiliate and Advertiser offers for products or services, the website is designed to create, organize, publish, promote, and distribute a range of created content and perspectives focused on, but not limited to, general and specific travel related content, media, opportunities, information, advice, insights, tips, stories, and resources about U.S. domestic and foreign travel for informational and entertainment purposes only (“Travel Related Blog Website”, or “GTS Blog”, or “GTS Blogs”). While We strive to ensure that the information presented is interesting, accurate, timely, relevant, and reliable, We make no guarantees regarding the value, accuracy, completeness, or currency of the content provided. Travel information, conditions, laws, regulations, guidelines, safety situations and other foreseeable or unforeseeable circumstances  are subject to frequent change and can vary significantly by User, situations, and locations, so readers are advised to verify all blog related details independently before making any decisions based on the information provided.

AFFILIATES, ADVERTISERS, AND MARKETING PROGRAMS:  GTS works with a diverse and non-exclusive assortment of Advertisers and third-party Affiliate marketing programs, including, but not limited to any and all types or forms of lawful sales, marketing, advertising, sponsorship, shipping, distribution, finance, training, educational, digital, social media, or other product or service providers designed to compensate GTS for promoting products or services, (“Affiliate Advertising and Marketing Programs”, or “Affiliates”, or “Affiliate”, or “Advertiser”, or “Advertisers”). Affiliate Advertising and Marketing Programs may include, but are not limited to offers for U.S. domestic or foreign travel, associated products or services, publications or associations, information, opportunities, ideas, advice or opinions, and/or other similar content, products or services. This means that if You click on an Affiliate link contained in Our Sites and make a purchase, We may earn a commission, referral payment, or other form of valuable consideration at no additional cost to You. 

The Affiliate Advertising and Marketing Programs help support Our ongoing operations and enable Us to provide valuable content, recommendations, advice, opinions, and resources to Our Visitors. GTS strives to feature only quality products and services that We genuinely believe in yet, any listing of third-party Affiliate Advertising and Marketing Programs offerings is for informational purposes only. GTS does not verify the accuracy of the data and information listed in Affiliate Advertising and Marketing. Affiliate data is considered true and accurate when obtained by GTS from the Affiliate. Information on Affiliate sites are subject to changes and updates that may not be reflected instantly on the GTS Sites. These external third-party resources may include, but are not limited to; State Departments, Passport or Visa websites, Centers for Disease Control, Transportation Security Administration (TSA), 911/Emergency resources, Weather resources, Currency Exchange Rate tools, Language Translators, or any other similarly related reference, resource, or content, (“Third-Party Information Providers”, or “Third-Party Information Provider”). 

GTS strives to feature accurate and informational content yet, any Third-Party Informational Providers offerings are for informational purposes only. GTS does not verify the accuracy of the data and information listed from Third-Party Information Providers. Third-Party Information data is considered true and accurate when obtained by GTS. GTS recommends Users conduct independent verification or research to ensure links, references, resources, or embedded content from Third-Party Information Providers is accurate, up-to-date, and meets Your needs before using and relying on such information. We also provide access to useful public information from Third-Party Information Providers.  GTS Blog content, Affiliate content, and Third-Party Informational Providers content is intended to help Users become informed, entertained, and find information on deals for products or services related to U.S. domestic and foreign travel that may be of interest to or benefit the User, (“Intended Use”).  

GTS does not provide telephone support.  Users may, at the User’s sole discretion, visit an Affiliate or Third-Party Information Providers independent websites or stores to purchase products or services, or review information by clicking on the Affiliate or Third-Party Information Providers link.  You affirm, agree, understand, and acknowledge the content of this section and the Intended Use of GTS Sites or Services.

INTENDED AUDIENCE AND AGE:  GTS Sites and Services are intended for use by adults who have reached the age of 18 years old or older, or the age of majority, in their jurisdiction and who are able and competent to form legally binding contracts under applicable laws in the United States, and who may legally view, access, purchase, possess, use, and own the information, products or services on the Sites in Affiliate Advertising and Marketing Programs, Third-Party Information Providers, and GTS Blogs, (“Intended Audience”). 

If You have not reached the age 18 years old or older, or are not of the age of majority in Your jurisdiction, please do not use the GTS Sites or Services and return when You have achieved the proper age. Any registered account for a User under the age of 18 shall be terminated and removed upon discovery until that User provides proof of compliance with this section. 

UNITED STATES OF AMERICA USE ONLY: The GTS Sites and Services are controlled and operated by GTS from its offices in the State of Arizona, United States of America. The domain of the GTS website is registered in the United States of America.  The GTS Sites and Services are hosted in the United States of America. The Intended Audience for the Sites consists of adults, 18 years of age or older, in the United States of America. 

COMMUNITY RULES AND STANDARDS:  GTS supports and seeks to maintain a positive and high-quality online experience for Our community of Users.  The respectful and lawful use of GTS Sites is governed by this Agreement including, but not limited to: User Registration, User Account, User Information, User Content, User Submissions, Prohibited Use, Inappropriate Content, and the general use of the Sites or Services. You are expected to use the Sites and Services in a respectful manner exhibiting good character with interactions to make our community at grabthesuitcase.com engaging and helpful.  

ACCOUNT REGISTRATION, USER NAME, USER INFORMATION, PASSWORD, AND SECURITY:  If You decide to register an account on the Sites, You may receive an assigned User name, password, and/or an account number.  You may be required to submit personal and/or business information as part of the registration process.  You acknowledge and agree that between You and GTS, You are solely responsible for the accuracy of Your submitted registration information including personal or business information, and You agree to update and maintain that information as needed from time-to-time. • Immediately notify GTS of any unauthorized use of Your User Account and/or other breach of security.

You hereby agree that You are responsible for all actions taken under, and while using, Your User Account.  It is Your responsibility to secure User Account data.  You hereby agree GTS is not liable to You or any third party for any loss or damage, of any kind or value, arising from Your failure to secure User Account data.  GTS maintains the right to provide others with personal or business information, including User Account information and all actions taken using Your User Account, under certain circumstances such as, but not limited to; in responses to a legal responsibility; lawful orders or process; subpoenas; and warrants; or to protect Our business, directors, employees, Users, Advertisers, Affiliates, content creators, or any other Third Party, as solely deemed necessary by GTS.

USER CONTENT AND SUBMISSIONS: Users registered with a User Account may submit comments and feedback where allowed for GTS Blogs, Affiliate content, information, emails, surveys, or other areas of the Sites or Services where User feedback is solicited, (collectively referred to as “User Submissions”).   User Submissions are public content deemed non-confidential for public publication unless otherwise stated and GTS shall be under no obligation to maintain the confidentiality of any information including personally identifiable information or data You submit. You will not be compensated in any monetary, trade, barter, or other form of value unless otherwise agreed to in writing. User Submissions immediately become the intellectual property of GTS upon submission.

Users registered with a User Account may provide other public information (examples: ratings, opinions, or comments) and/or may submit comments to GTS online forums, where allowed on the Sites (collectively referred to as “User Content”). User Content remains the intellectual property of the individual User. You warrant and represent that You own the Intellectual Property Rights and are authorized to upload the information contained in any User Content.  You hereby agree GTS is not liable to You or any third party, and You will hold GTS harmless, for any loss, claim, or damage, of any kind or value, arising from Your Content.  User Content is public content deemed non-confidential for public publication and GTS shall be under no obligation to maintain the confidentiality of any information, including personally identifiable information or data You submit. You will not be compensated in any monetary, trade, barter, or other form of value.

ERRORS, OMISSIONS, REVISIONS, AND INACCURACIES: GTS does not verify the accuracy of the data and information listed in Affiliate Advertising and Marketing. Data and information is considered true and accurate when obtained from Affiliates and Third-Party Information Providers. Information on Affiliate and Third-Party Information sites are subject to changes and updates without notice that may not be reflected instantly on the GTS Sites. Information on GTS Sites may frequently contain errors, omissions, and inaccuracies requiring corrections or revision. Examples include, but are not limited to typos, missing or inaccurate information, incomplete data, incorrect product descriptions, errors in pricing, missing or inaccurate shipping information, inaccurate coverage, errant specifications, incorrect photos or trademarks, inaccurate discounts or rebates, incorrect availability or quantities, misquoted guarantees or warranties, and other missing  costs or information. GTS assumes no liability for any real or perceived damages claimed by a User due to errors, omissions, revisions, inaccuracies, duplication, changes, substitutions, updates, withdrawn or expired offers, or other similar situations with Affiliate or Third-Party Information Providers beyond Our control.  GTS assumes no liability for any claimed damage due to User ability or inability to purchase or use a product, service, or information.  GTS assumes no liability for any claimed damage or loss due to User ability or inability to purchase or use a product or service for the pricing or terms included in Affiliate offers or Third-Party Information Provider data on the GTS Sites or Services. You affirm, agree, and acknowledge that You will indemnify and hold harmless GTS from and against any and all responsibilities or liabilities for any real or perceived claims, damages, or costs resulting from errors, omissions, revisions, or inaccuracies on the Sites or in Our Services.  

ADVERTISING AND SUBSCRIPTIONS: GTS may, at its sole discretion, offer and enter into advertising, marketing, sales, sponsorship, promotional, informational, educational, Affiliate, dealer, membership, subscription, or other similar agreements providing access to paid or unpaid Listings, website space, or Services on the Sites promoting products or services through, but not limited to, Listings, offers, links, sales, buying opportunities, or any other forms including any other lawfully available sales, marketing, or advertising mechanisms or other formats (collectively referred to as,  (“Advertising”, or “Subscriptions”, or “Subscription”, or “Memberships”, or “Membership”, or “Sales”, or “Offers” herein).  GTS may or may not utilize licensed or proprietary software in conjunction with those Services.  GTS may market the Sites or Services, at Our sole discretion, to a diverse and non-exclusive assortment of clients, including but not limited to, any and all types or forms of lawful sales, marketing, advertising, sponsorship, shipping, distribution, finance, training, educational, or other product or service providers.

LICENSE:  By accessing and using GTS Sites or Services, or posting User Submissions or User Content or any content, materials, or other information, You grant GTS without limitations a non-exclusive, perpetual, irrevocable, royalty-free, fully-paid, worldwide, and fully sub-licensable right to use the User Submissions, User Content, and any or all other content, materials, data, or information submitted or gathered during Your access and use, or other interactions with the Sites or Services, in connection with the operation of GTS including the right and license to reproduce, modify, adapt, publish, translate, create derivative works from, distribute, transmit, publicly perform, reformat, and publicly display such User Submissions, User Content, and any or all other content, materials, data, or information submitted or gathered including Your name, voice, image, and/or likeness as contained in Your User Submissions, User Content, or other content, materials, data, or information, in whole or in part, and in any form throughout the world in any media or technology, whether now known or hereafter discovered, including all promotion, advertising, marketing, merchandising, publicity and any other ancillary uses thereof, and including the unfettered right to sublicense such rights, in perpetuity throughout the universe.

COPYRIGHTS, TRADEMARKS, PATENTS, AND INTELLECTUAL PROPERTY RIGHTS:  GTS is concerned with protecting intellectual property rights.  Affiliate and Third-Party Information Provider data is not allowed to be listed on GTS if the advertising or information infringes upon the rights or restrictions of the owner of an intellectual property right.  All User information featured, displayed, posted, or offered on the Sites or Services through Affiliates and Third-Party Information Providers is owned, controlled, or licensed by the lawful or authorized intellectual rights owner, and/or immediately becomes the sole intellectual and proprietary property of GTS once posted to the Sites, unless otherwise stated herein. 

The Sites and Services, including all elements, are owned and operated by GTS.  GTS is the owner and sole authorized user of all GTS trademarks, logos, service marks, trade names, and proprietary content including but not limited to the general design and the content of the Sites and Services.  The Sites and Services are protected by copyright, trademark, patent, trade dress, trade secrets, moral rights, and other U.S. or international laws relating to intellectual property rights (collectively referred to as the “GTS Trademarks” herein).

• Test the vulnerabilities of GTS, the Sites or Services, or any of Our systems, software, servers, data, domains, webhosts, security, or similar systems;

• Interfere, disrupt, or cease performance of the GTS network, host, servers, email system, Sites or Services by attempting a Denial-of-service attack (DoS attack) or Distributed Denial of Service attack (DDoS attack) or by  attempting to flood, spam, mail-bomb, or crash systems by uploading or transferring large volumes of email, content, or data; 
• Attempt to interpret, detect, modify, rework, decompile, reverse-engineer, deconstruct, disassemble, reconstruct, or otherwise attempt to definitively produce a human-perceivable form of any source code used by GTS to provide, distribute, or maintain the Sites or Services.  
• Use the Sites, Services, Listings, or Advertising in any way as a Bit Torrent or other Peer-to-Peer (P2P) communication protocol for file sharing of any type;
• Solicit money or currency of any type and in any form, or any other instrument that is equivalent in form or function to monetary funds. 

INAPPROPRIATE CONTENT: As a User of GTS Sites or Services, You affirm, agree, and acknowledge the following content is prohibited and deemed inappropriate for use on or with GTS Sites or Services.  You shall not:

• Use GTS Sites or Services to post, upload, download, list, display, transmit,  transfer, or otherwise distribute any content that may harm or damage GTS, any person, any group (or class of people), any minor, other Users, Affiliates, Third-Party Information Providers, othe third parties, or any other entity in any manner, context, or form. This includes, but is not limited to content, materials, actions, statements, User Submissions, or User Content that, at the sole discretion of GTS is:
• Unlawful, illegal, illicit, outlawed, or prohibited by law in any way;
• Defamatory, disparaging, injurious, libelous, false, misleading, inaccurate, or in any way damaging; 
• Harassing, promoting harassment, or encouraging harassment, or stalking;
• Discriminatory toward race, color, ethnicity, gender, religion, mental or physical disability, sexual orientation, or age;
• Obscene, pornographic, lewd, indecent, vulgar, or offensive;
• Overly sexual, sexually suggestive, or sexually exploitive;
• Graphically violent, sexually violent, mentally abusive, physically abusive, torturous, or threatening;
• Promoting of a hate crime, or crime against any person, any group, or any class of people;
• Promoting, encouraging, or threatening direct physical damage, harm, or malice, including any intent to commit or threaten damage, harm, or malice of any kind;   
• Engaging in inappropriate comments, offensive jokes, personal humiliation, critical remarks, ostracizing behavior, or intimidation tactics; 
• Invasive to, or interfering, with individual or business privacy rights, or violating any third party’s right to privacy or publicity;
• Invasive to, or interfering, with business or commercial operations of GTS or other entities. 
• Promote, advocate, encourage, or support any conduct that could incite, or could be interpreted as inciting, a criminal offense; 
• Promote, advocate, encourage or support any conduct that that could incite, or could be interpreted as inciting, civil unrest; 
• Promote, advocate, encourage, or support any conduct that could incite, or could be interpreted as inciting, foreign or domestic terrorism of any type;
• Promote, advocate, encourage, or support any action that could incite, or could be interpreted as inciting, a violation of any laws or regulations in any jurisdiction;

• Misrepresent Your identity or geographic location, impersonate any other persons, groups, Users, businesses, or other entities, or misrepresent Your legal age or authority and capacity to enter into sales or purchase transactions for contracts or the products or services in GTS, Affiliate, or Third-Party Information Provider offers or services;

• Falsely state or otherwise misrepresent Your affiliation with any person, group, business, or other entity;
• Market or promote any commercial, or non-commercial, activities, programs, sales, deals, transactions, or other promotions as auctions, contests, raffles, sweepstakes, giveaways, gambling, door prizes, drawings, kick backs, barter, personal ads, classified ads, advertising (except as approved by GTS or other approved Advertising only), or any illicit actions; 
• Use the Sites or Services to upload, submit, or send unsolicited or unauthorized advertising, junk mail, spam, mass mail, chain letters, games, social media chain posts, or social media advertising apps;
• Upload, transfer, or promote deceptive or misleading Deals through Listings that constitute “click-bait” or “bait-and-switch” advertising.  Any such Listings will be removed from the GTS Sites and Services;
• Promote, advocate, encourage, or support any Ponzi, fraud, or pyramid schemes or false enterprises; 
• Promote, advocate, encourage, or support infringement of, or unauthorized copying of, any intellectual rights

USER INFORMATION AND COPPA:  During Your use of the Sites or Services, You may be asked to provide certain personal or business information to GTS.  We use this information to provide You with Services. GTS information collection and use policies are set forth in Our Privacy Policy. 

In accordance with the Federal Children’s Online Privacy Protection Act of 1998 (COPPA), GTS will never knowingly solicit, request, prompt, or encourage the submission of information, nor will We accept or collect, personally identifiable information from Users known to be under thirteen (13) years of age without the consent of the child’s parent or legal guardian.  GTS Sites and Services are intended for use by adults who have reached the age of 18 years old, or older, in their jurisdiction and who are able and competent to form legally binding contracts under applicable law in the United States only and who may legally view, access, purchase, possess, use, and own the information, products or services on the Sites in Affiliate Advertising and Marketing Programs, Third-Party Information Providers, and GTS BlogsSimilarly, GTS Sites and Services are marketed only to adults, 18 years old, or older, in their jurisdiction or who have achieved the age of majority, and who are interested in GTS Services.  Any registered account for a User under the age of 18 shall be terminated upon discovery.

You should not provide or post the following information in public areas (examples:  User Content, comments, forums, surveys, etc.) on the Sites or Services for You, or any person, or a third party, or ANY MINOR UNDER THE AGE OF 18 YEARS OLD.  This information is considered by the Federal Trade Commission to be personal information under COPPA;

• A full name;
• A home or other physical address, including street name and city or town;
• Online contact information like an email address or other identifier that permits someone to contact a person directly (examples: IM (instant message) identifier, VoIP identifier, or video chat identifier);
• A screen name or User name where it functions as online contact information;
• A telephone number;
• A Social Security number;
• A persistent identifier that can be used to recognize a User or other person over time and across different sites, including a cookie number, an IP address, a processor or device serial number, or a unique device identifier;
• A photo, video, or audio file containing Your, or a child’s image or voice;
• Geolocation information sufficient to identify an address, street name, city or town; or
• Other information about a child or parent that is collected from the child or parent and is combined with one of these identifiers

REFUSAL OF SERVICE:  We reserve the right to refuse, suspend, terminate, non-renew, or remove any User, Affiliate, or Third-Party Information Provider including Advertising, User Accounts, User Submissions, User Content, subscriptions, memberships, or other Services  for any reason, at Our sole discretion, without cause, and without notice unless otherwise agreed to in writing. 

REFUND & RETURN POLICY:  GTS does not sell any of the Goods or Services in Affiliate Advertising on the Sites. GTS does not offer and will not pay or compensate or indemnify You for refunds or returns, nor does GTS offer or honor any guarantees or warrantees for refunds or returns, for any purchases You make or transactions You complete or service contracts You enter or similar transactions You initiate or complete with Affiliates or other third parties. You agree and affirm that You are solely responsible for working with any Affiliate or seller of products or services to report, address, grant, and complete Your refund or return requests according to that Affiliate or seller’s policies.  You agree to and acknowledge this (“Refund & Return Policy”) that is hereby incorporated into and is a part of this Agreement by reference. 

INVENTORY POLICY:  GTS works with a large and diverse group of Advertisers and Affiliates that offer a wide range of products, goods and services. GTS is not involved in the sourcing of inventory for the offers on products or services. Inventory levels may fluctuate daily for a variety of reasons that GTS cannot control. Changes in Advertiser and Affiliate inventory may occur without notice to GTS causing. This may create inaccuracies related to offers found on the website. GTS cannot and does not guarantee quantities of any products or services offered, available, or on-hand with Advertisers and Affiliates are sufficient to complete every order. If a situation occurs where products or services are not or no longer available from an Advertiser or Affiliate, it is Your responsibility to work with that entity to find alternative solutions or locate an alternative. You agree to and acknowledge this (“Inventory Policy”) that is hereby incorporated into and is a part of this Agreement by reference. 

DEFECTIVE PRODUCTS OR SERVICES POLICY:  Occasionally products or services are defective requiring replacement or service repairs.  GTS does not sell or service any of the products or services advertised by Affiliates or Third-Party Information Providers on the Sites. GTS does not manage any defective product or service claims for You, Affiliates, Third-Parties Information Providers, manufacturers, distributors, suppliers, shippers of products or services, or any other third party or seller. You agree and affirm that You are solely responsible for working with any Affiliate or seller to report, address, grant, and complete Your defective product, goods or services requests according to that Affiliate, Third-Party Information Provider, or other seller’s policies. You agree to and acknowledge this (“Defective Products or Services Policy”) that is hereby incorporated into and is a part of this Agreement by reference.

SHIPPING & TRANSMISSION DAMAGE OR LOSS POLICY:  Occasionally, items are damaged or lost during shipping or damaged, corrupted, or incomplete during transmission (such as digital services and downloads).  GTS does not sell or ship any of the products or services offered in by Affiliates or Third-Party Information Providers on the Sites. GTS does not control the policies or actions of any shipping or transmission company selected by an Affiliate, any seller, or You through transactions with Affiliates, Third Party Information Providers, manufacturers, distributors, drop-shippers, suppliers, or other third parties of any kind for any products or services.  Claims for missing, damaged, corrupted, incompleted, or missing products or services must be made with the responsible Affiliate, Third-Party Information Provider, shipping carrier, drop shipper, transmission company, or logistics company for immediate and proper claim handling.  All claims must be made against the Affiliate, Third-Party Information Provider, shipping carrier, transmission company, other seller, or any selected insurance company (if shipping insurance was purchased), and processed through that entity using the appropriate claim process.  GTS does not offer and will not pay or compensate or indemnify You for items damaged or missing in shipping or transmission, nor does GTS offer or honor any guarantees or warrantees for any items damaged or missing in shipping.  You agree to and acknowledge this (“Shipping & Transmission Damage or Loss Policy”) that is hereby incorporated into and is a part of this Agreement by reference.

RECALL POLICY:  From time-to-time manufacturers and suppliers issue product or service recalls for products or services You purchase. Many times this is done after discovery of a safety issue or product defect.   GTS does not sell or service any of the products or services offered by Affiliates or Third-Party Information Providers on the Sites. GTS does not issue or manage any product or service recalls for You, Affiliates, sellers, manufacturers, suppliers, distributors, drop shippers, or other third parties. You may be notified by an Affiliate, manufacturer or supplier about a product or service recall, including instructions regarding the nature of the recall and how to get the problem resolved.  GTS is not liable and assumes no responsibility to assure You have been notified of and recalls and is not liable to assure You resolve any product or service recall.  You agree, acknowledge, and warrant that You are solely responsible for checking periodically to determine if any recalls, of any kind, are issued or exist on products or services You purchase using GTS Sites or Services including coverage of any and all costs necessary to correct any such recall, safety issue, or product defect. You agree to and acknowledge this (“Recall Policy”) that is hereby incorporated into and is a part of this Agreement by reference.

CANCELLATION POLICY:  GTS does not sell or service any of the products or services offered by Affiliates or Third-Party Information Providers on the Sites. GTS does not, cannot, and will not process in any form or venue, a request by You to Us to cancel a purchase transaction or agreement You entered into with an Affiliate or other third-party seller using information or links from GTS Sites or Services. You agree and affirm that You are solely responsible for working with any Affiliate, Third-Party Information Provider, or other sellers to address Your cancellation requests according to their applicable cancellation policy.  You agree to and acknowledge this (“Cancellation Policy”) that is hereby incorporated into and is a part of this Agreement by reference. 

TAXATION & FEES POLICY:  You affirm, agree, and acknowledge that GTS assumes and bears no responsibility or liability for the reporting, withholding, accruing, escrow, payment, remittance, or any collection or handling of any taxes, VAT taxes, sales taxes, transaction taxes, use taxes, personal property taxes, duties, fees, charges, stamps, tariffs, surcharges, levies, or domestic or foreign import and export fees, or any other similar or dissimilar taxes or fees or charges of any type or form (“Taxation and Fees”) imposed by any jurisdiction having taxing or similar authority, or any Affiliate or other seller, for purchases or transactions that You engage in or conduct through Affiliates and Third Party Information Providers or any other external links, websites, or physical stores, originating or accessed via the Sites or Services provided by GTS.  You are solely responsible for any and all Taxation and Fees.

You shall indemnify and hold harmless GTS against any responsibility or liability for any Taxation and Fees, or similar and associated transaction costs, that may be applied or assessed by any Affiliate, Third-Party Information Provider, or other seller or any jurisdiction having taxation or similar authority with respect to, but not limited to, costs, fees, or charges to GTS due to transactions or purchases completed by You through links to Affiliate, Third-Party Information Provider, or other seller products or services on or using the GTS Sites or Services.     

You will indemnify and hold harmless GTS from and against any and all responsibilities or liabilities for any damages or costs resulting from, but not limited to, improper, incomplete, or inadequate collection, reporting, withholding, payment, or remittance of any Taxation and Fees, by You or any Affiliate, Third Party Information Provider, or other sellers relating to any transactions or purchases You complete using links to Affiliate, Third-Party Information Provider, or other seller products or services on or using the GTS Sites or Services. You agree to and acknowledge this “Taxation & Fees Policy” that is hereby incorporated into and is a part of this Agreement by reference.      

 

VIOLATIONS AND ACCESS: Violations of the Terms of Use will be investigated and resolved at the discretion of GTS.  Failure to comply with any terms or conditions will be considered immediate grounds for termination of the offending User and the associated Users Account. GTS reserves the right to limit or terminate Your User Account at any time, without cause and at Our sole discretion.

GTS, its agents or representatives, may access Your User Account and registration data as needed, on a case-by-case basis, to examine or inspect any User Account for data compliance, or to investigate statements, charges, complaints, or allegations of non-compliance with the Term of Use, unlawful use or activity, fraudulent use or activity, infringement of third party intellectual property rights, verification or validation of User identity, or any unauthorized use of the Sites or Services.  GTS will have no obligation to disclose the administration, processing, handling, supervision, findings, or existence of any examination, inspection, or investigation unless required by law or civil action. 

REPRESENTATIONS AND WARRANTIES: You shall be solely responsible for Your User Submissions, User Content, Your use or maintenance of User Account data, and the consequences of Your accessing, viewing, posting, publishing, commenting, participating, or using in any way the Sites or Services.  In connection with User Submissions or User Content and Your use of the Sites, You affirm, represent and warrant the following: 

• You have read, understood, agree with, and will abide by the terms of this Agreement;
• You are 18 years old or older and have met the age of majority or legal age in Your jurisdiction and are over the legal age to contract and have the right and authority to enter into this Agreement, and are fully able and competent to satisfy the terms, conditions, and obligations herein; 
• You have obtained all consents, and possess all copyright, patent, trademark, trade secret and any other proprietary rights, or the necessary licenses thereto, to grant the licenses herein; 
• If necessary, You have acquired the written consent of each and every identifiable natural person in Your User Submissions or User Content to use such persons name or likeness in the manner intended by the Sites or Services and the Terms of Use, and each such person has released You from any liability that may arise in relation to such use; 
• Your User Submissions or User Content, and GTS’s use thereof as intended by the Terms of Use and the Sites or Services, will not infringe any rights of any third party, including but not limited to any intellectual property rights, privacy rights, and rights of publicity; 
• Your User Submissions or User Content do not and will not contain: 
•  material falsehoods or misrepresentations; 
•  content that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing or encourages conduct that would be considered a criminal offense, give rise to civil liability or violate any law; or
• Impersonations of third parties, other than those which are readily apparent and not otherwise in violation of the Terms of Use.

WARRANTIES AND GUARANTEES:  GTS AND OUR LICENSORS, ADVERTISERS, AFFILIATES, VENDORS, THIRD PARTIES, AND/OR CONTENT OR SERVICE PROVIDERS MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE CONTENT OF OUR SITES, GTS BLOG CONTENT, OTHER GTS MEDIA OR CONTENT, OR OUR SERVICES. WE SHALL NOT BE SUBJECT TO LIABILITY FOR ANY DELAYS OR INTERRUPTIONS OF OUR SITES OR THE SERVICES FROM WHATEVER CAUSE. YOU AGREE GTS SHALL NOT BE HELD LIABLE FOR THE AVAILABILITY OF ANY AFFILIATE OFFERS, ADVERTISING, PRODUCTS OR SERVICES.  YOU AGREE GTS SHALL NOT BE HELD LIABLE FOR THE PERFORMANCE OF ANY INDEPENDENT USERS, ADVERTISERS, AFFILIATES, THIRD-PARTY INFORMATION PROVIDERS, OTHER THIRD PARTIES, OR IN THE COMPLETION OF ANY TRANSACTION, PURCHASE, OR USE OF PRODUCTS OR SERVICES.   

YOU AGREE THAT YOUR USE THE SITES AND THE SERVICES ARE PERFORMED AT YOUR OWN RISK. GTS SITES AND SERVICES MAY CONTAIN TECHNICAL INACCURACIES OR TYPOGRAPHICAL ERRORS OR OMISSIONS. GTS IS NOT RESPONSIBLE FOR ANY SUCH TYPOGRAPHICAL OR TECHNICAL ERRORS. GTS RESERVES THE RIGHT TO MAKE CHANGES, CORRECTIONS, AND/OR IMPROVEMENTS TO OUR SITES AND SERVICES AT ANY TIME WITHOUT NOTICE. GTS MAKES NO REPRESENTATIONS, GUARANTEES, OR WARRANTIES THAT OFFERS WILL APPLY TO OR BE PERCEIVED AS MAINTAINING EQUAL VALUE BY ALL USERS.  GTS DOES NOT OFFER AND SHALL NOT BE HELD LIABLE FOR ANY GUARANTEE OR WARRANTY THAT ANY OR ALL AFFILIATE OFFERS WILL PROVIDE THE SAME REAL OR PERCEIVED VALUE TO ANY USER.

RELEASE: In the event that You have a dispute with one or more other Users, Affiliates, Third Party Information Providers, or any other party, for any reason, You agree to release and hold harmless GTS from any and all claims, demands, or damages (direct, indirect, incidental, actual, consequential, special, or punitive) of every kind and nature, known and unknown, foreseeable or unforeseeable, with or without cause, suspected or unsuspected, disclosed or undisclosed, and for any monetary value or any instrument of value of any amount, arising out of or in any way connected with such disputes due to Your accessing or use of Sites or Services.

LIMITED LIABILITY:  YOU AFFIRM, ACKNOWLEDGE, WARRANT , AND AGREE THAT YOU ACCEPT AND ASSUME ANY AND ALL RISKS ASSOCIATED WITH YOUR ACCESS, VIEWING, BROWSING, LISTING, SHARING, VISITING,  ACTIVITY, USING, OR ESTABLISHMENT AND USE OF ANY USER ACCOUNT ON GTS SITES OR SERVICES. YOU AFFIRM, ACKNOWLEDGE, WARRANT, AND AGREE THAT YOU ACCEPT AND ASSUME ANY AND ALL RISKS ASSOCIATED WITH USING THE GTS SITES TO VIEW OR SELECT AFFILIATE, THIRD-PARTY INFORMATION PROVIDER, GTS BLOGS, OR OTHER GTS MEDIA OR CONTENT THAT MAY PROVIDE YOU AN OPPORTUNITY TO VOLUNTARITY ENTER INTO ANY PURCHASE OR SERVICE AGREEMENT OR TRANSACTION WITH ANY AFFILIATE, THIRD-PARTY INFORMATION PROVIDERS, OR ANY OTHER THIRD PARTY. YOU AFFIRM, ACKNOWLEDGE, WARRANT, AND AGREE THAT YOU ACCEPT AND ASSUME ANY AND ALL RISKS OF RESPONSIBILITY TO PERFORM YOUR DUE DILIGENCE BEFORE ACCESSING, VIEWING, BROWSING, LISTING, SHARING, VISITING, OR USING GTS SITES OR SERVICES OR VOLUNTARITY ENTERING INTO ANY PURCHASE OR SERVICE AGREEMENT OR TRANSACTION WITH ANY AFFILIATE, THIRD-PARTY INFORMATION PROVIDERS, OR ANY OTHER THIRD PARTY.

IN NO EVENT AND UNDER NO CIRCUMSTANCES AND WITHOUT LIMITATION, INCLUDING NEGLIGENCE, SHALL GTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE, OR OTHER TYPES OF CLAIMS OR DAMAGES RESULTING FROM THE PURCHASE, ACQUISITION, TRANSACTION, OR USE OF ANY PRODUCTS OR SERVICES PURCHASED OR OBTAINED USING THE SITES OR SERVICES OR RESULTING FROM  THE COST OR PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR RESULTING FROM THE USE OR THE INABILITY TO USE ANY GTS CONTENT, SITES OR SERVICES. 

IN NO EVENT AND UNDER NO CIRCUMSTANCES AND WITHOUT LIMITATION, INCLUDING NEGLIGENCE, SHALL GTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE, OR OTHER TYPES OF CLAIMS OR DAMAGES RESULTING FROM DATA TRANSMITTED OR RECEIVED, OR NOT TRANSMITTED OR NOT RECEIVED, OR MESSAGES RECEIVED, OR TRANSACTIONS ENTERED INTO BY MEANS OF OR THROUGH ANY SERVICES OFFERED BY US, OR RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA, OR OTHER INFORMATION THAT IS SENT OR RECEIVED OR NOT SENT OR RECEIVED, INCLUDING BUT NOT LIMITED TO, ANY AND ALL COSTS OR DAMAGES OR CLAIMS FOR LOSS OF PROFITS, LOSS OF USE, LOSS OF DATA, LOSS OF OPPORTUNITY, SYSTEMS LOSS OR DAMAGE, OR OTHER TANGIBLE OR INTANGIBLE LOSS, REGARDLESS OF THE FORESEEABILITY OF THOSE DAMAGES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU ALSO AGREE THAT WE SHALL NOT BE RESPONSIBLE OR LIABLE TO YOU, OR TO ANYONE, FOR THE STATEMENTS OR CONDUCT OF ANY USERS, AFFILIATES, THIRD-PARTY INFORMATION PROVIDERS, OR ANY OTHER THIRD PARTY ON OR ARISING FROM USE OF ANY SITES OR SERVICES OFFERED BY US.  

EXCEPT AS OTHERWISE PROVIDED ABOVE, EVERYTHING ON THE GTS SITES AND SERVICES, INCLUDING ANY PRODUCTS OR SERVICES OFFERED FOR SALE BY ANY AFFILIATE, THIRD-PARTY INFORMATION PROVIDERS, OR ANY OTHER THIRD PARTY OR INFORMATION SUBMITTED BY USERS, IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. GTS MAKES NO WARRANTIES OR REPRESENTATIONS REGARDING THE INFORMATION OR CONTENT CONTAINED ON THE SITES, AND SPECIFICALLY DISCLAIMS ANY WARRANTY AS TO THE SUITABILITY, RELIABILITY, TIMELINESS OR ACCURACY OF THE INFORMATION OR CONTENT CONTAINED ON THE SITES FOR ANY PURPOSE. GTS DOES NOT WARRANT THAT THE FUNCTIONALITIES CONTAINED IN THE SITES OR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITES OR THE SERVERS THAT MAKE THE SITES OR SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. GTS DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE INFORMATION OR CONTENT IN THE SITES IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. YOU (AND NOT GTS) ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION. 

UNDER NO CIRCUMSTANCES SHALL GTS BE LIABLE FOR ANY DAMAGES THAT RESULT FROM THE USE OF OR INABILITY TO USE THE GTS SITES OR SERVICES, INCLUDING BUT NOT LIMITED TO FROM ACTS OF GOD, COMMUNICATIONS FAILURE, THEFT, DESTRUCTION, UNAUTHORIZED ACCESS TO GTS RECORDS, PROGRAMS, OR SERVICES, OR OTHERWISE. YOU HEREBY ACKNOWLEDGE THAT THIS DISCLAIMER AND LIMITATION OF LIABILITY SHALL APPLY TO ALL CONTENT, OFFERS, LISTINGS, DEALS, ADVERTISING, INFORMATION, AND SERVICES AVAILABLE THROUGH THE SITES.

THESE LIMITATIONS SHALL APPLY REGARDLESS OF WHETHER THE CLAIMED DAMAGES ARISE OUT OF BREACH OF CONTRACT, TORT (INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE), OR ANY CLAIM WHATSOEVER, OR ANY OTHER LEGAL THEORY, OR OTHER FORM OF ACTION.

IF YOU ARE DISSATISFIED WITH ANY SERVICES OFFERED BY US, YOUR EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SITES OR SERVICES WITHOUT REFUND OR REMUNERATION OF ANY KIND WHATSOEVER.  THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

IN NO EVENT SHALL AGGREGATE LIABILITY TO GTS FOR ALL YOUR DAMAGES, LOSSES, AND CAUSES OF ACTION WHETHER IN CONTRACT, TORT (INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE), OR ANY CLAIM WHATSOEVER, OR ANY OTHER LEGAL THEORY, OR OTHER FORM OF ACTION, OR OTHERWISE ARISING OUT OF THE AGREEMENT AND YOUR ACCESSING, VIEWING, BROWSING, LISTING, SHARING, VISITING, ACTIVITY, OR USE OF THE SITES OR SERVICES OR THE INFORMATION OR CONTENT ON THE SITES, OR THE PERFORMANCE OF THE SITES OR SERVICES, EXCEED THE AMOUNT PAID BY YOU, YOUR REPRESENTATIVES, OR YOUR ASSIGNS FOR ANY SERVICES PURCHASED DIRECTLY BY YOU FROM US ON THE GTS SITES OR THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE GTS SITES.

INDEMNIFICATION: You agree to defend, indemnify and hold harmless GTS from any and all claims, actions, demands, liabilities, losses, damages, costs, and expenses including, without limitation, reasonable attorneys’ or legal fees and accounting fees, arising from or related to any violation of this Agreement by You, or in connection with Your access or use, or misuse, of the Sites or Services.

FORCE MAJEURE:  Neither GTS nor You shall be responsible for damages or for delays or failures in performance resulting from acts or occurrences beyond their respective reasonable control, including, without limitation: fire, lightning, explosion, power surge or failure, water, acts of God, war, revolution, civil commotion,  acts of civil or military authorities or public enemies, any law, order, regulation, ordinance, or requirement of any government or legal body or any representative of any such government or legal body; or labor unrest, including without limitation, strikes, slowdowns, picketing, or boycotts; inability to secure raw materials, transportation facilities, fuel or energy shortages, or acts or omissions of other common carriers.

LEGAL, DISCLAIMERS & DISCLOSURES:  You agree and warrant that You have read and understand the Disclaimers & Disclosures posted to the Sites.  You agree to and acknowledge the supplemental “Legal, Disclosures and Disclaimers” that are hereby incorporated into and are a part of this Agreement by reference. 

ENTIRE AGREEMENT:  Except as expressly agreed by You and GTS in writing, this Agreement is the entire Agreement between You and GTS and supersedes any and all previous or contemporaneous agreements, or prior understandings or agreements, whether written or oral, between the parties with respect to the subject matter.

NO LICENSE:  No terms or sections of this Agreement or the Terms of Use nor any content listed or contained at the Sites or in the Services should be interpreted or understood as granting You a license to use any of the intellectual property including trademarks, service marks, logos, copyrighted material, or other legally protected property owned by GTS or any third party. 

DISPUTE RESOLUTION: In the event of a dispute, and prior to any other action, You agree to attempt resolution of the dispute by first contacting GTS at [email protected] and entering into a resolution discussion.  Your failure to contact GTS and seek dispute resolution prior to another action will result in a breach of this Agreement and the Terms of Use by You.  This Agreement and Your use of GTS Sites or Services are governed by the laws of the State of Arizona per the Governing Law section of the Agreement.  You hereby waive any right to a trial by jury in the event of any dispute, controversy, or claim relating to this Agreement.   In addition to the foregoing, in the event of any breach or violation of this Agreement by You, We retain the right and shall be entitled to enforce all Our legal remedies for such breach or wrongful activity including, but not limited to, seeking actual damages, profits, lost revenue, treble damages, attorney’s fees, costs, and the maximum amount of statutory damages allowable under existing statutes or acts.  These remedies and damages are in addition to any monetary payments that may be described in this Agreement or owed to GTS or any amounts otherwise due under this Agreement. 

SEVERABILITY AND WAIVER:  In the event that a court of competent jurisdiction finds any term or section in this Agreement or Terms of Use to be invalid, unenforceable, or illegal, the same will not have an effect on any other terms or sections in the Terms of Use, or the entire Agreement.  However, such a term or section may be revised or modified to the extent required according to the opinion of the court to render the term, section, Agreement, or Terms of Use enforceable or valid to show the original intention of the parties and the rights and responsibilities of the parties shall be interpreted and enforced accordingly, so as to preserve their Agreement and intent to the fullest possible extent. 

No waiver of any breach of any section or provision of the Terms of Use or Agreement shall constitute a waiver of any prior, concurrent, or subsequent breach of the same or any other sections or provisions hereof, and no waiver shall be effective without prior written approval and a signature by an authorized representative of the waiving party. GTS’s failure to insist upon or enforce strict performance of any provision of the Terms of Use or Agreement shall not be construed as a waiver of any provision or right.

ASSIGNMENT:  No party may assign either this Agreement or any of its rights, interests, obligations, responsibilities, hereunder without the prior written approval of the other parties.  Subject to the preceding sentence, this Agreement shall be binding upon and shall inure to the benefit of the parties hereto and their respective successors and permitted assigns. 

HEADINGS:  The section headings are provided merely for convenience and shall not be given any legal import. This Agreement will inure to the benefit of Our parent company, subsidiaries, Affiliates, subcontractors, licensees, sub -licensees, directors, officers, employees, consultants, agents, representatives, assigns, successors, and content or service providers.
